The agreement

Terms of Service

What you can expect from JPRAXC, and what JPRAXC asks of the organisations, people and partners who use its website, products and connected services.

These terms are an agreement between you and JPRAXC INFYNEX PRIVATE LIMITED (CIN: U62011UP2026PTC252552), “JPRAXC”, an Indian company with its registered office at C/O Jay Prakash Chaurasia, Bherahritola, Dudhi, Bansgaon, Padrauna, Kushinagar, Uttar Pradesh PIN - 274302, India. They apply to the JPRAXC website, the Sales and licensing services, the JPRAXC School ERP, Hospital ERP, Billing & GST ERP and Custom Business ERP, their portals and mobile apps, and the connected services — Business Email, ConnectX, the WhatsApp API integration, SMS and payment collections — and to the JPRAXC Partner programme. The Privacy Policy, the Mobile App Privacy Policy and the Refund & Cancellation Policy form part of these terms.

About these terms

Acceptance

An enquiry, quotation request, demo request, feedback or complaint does not by itself accept a purchase contract. Applicable terms are presented for affirmative acceptance by an authorised person at order confirmation, purchase or product activation as appropriate. Electronic acceptance is subject to the requirements of the Indian Contract Act and IT Act section 10A; an unauthorised click does not automatically bind an organisation. School users act within school-issued authority, and guardians act for children where required. Privacy notices explain processing; they are not blanket waivers of rights.

Order of precedence

A quotation, purchase order accepted by JPRAXC, licence certificate, written service agreement, data processing agreement or partner agreement may add to or vary these terms for a particular order; where they differ, the specific document prevails for that order, then these terms, then the policies they refer to. An organisation’s own users — staff, parents, patients, customers — use the product under the organisation’s authority and any notices it publishes, together with these terms.

Consumers

Most JPRAXC customers are organisations buying for their operations. If you buy as a consumer within section 2(7) of the Consumer Protection Act, 2019, that Act applies to you, and nothing in these terms excludes or limits a right it gives you; where a clause would do so, it applies only to the extent the law allows.

Definitions

Accounts and access

Access to a product is through the accounts the organisation’s administrator creates, the roles it assigns and the product-specific verification controls enabled for that role. You are responsible for keeping credentials, one-time codes, install codes, activation references and API keys confidential, for the actions taken under your accounts, and for removing access when a person leaves. Tell JPRAXC promptly at support@jpraxc.com if you believe an account or key has been compromised.

Sign-in differs by product, role, version and administrator policy. Supported administrative portals offer authenticator-app or email-code verification after credentials; staff authenticator requirements follow assigned policy. Business Email sign-in uses the mailbox address and password, not that portal choice. Use the controls shown by the service; this is not a promise that every account uses the same second factor. JPRAXC personnel never ask you to send passwords, one-time codes or recovery codes through chat, forms or email.

Licences and editions

The grant

Subject to payment, JPRAXC grants the licensed organisation a non-exclusive, non-transferable licence to use the ordered product, in the ordered edition (Cloud or Offline), for the licence period, capacity (such as students, users, branches, mailboxes or storage) and add-ons shown on its licence, at the sites and on the devices the licence permits. The licence is for the organisation’s own operations; it may not be rented, sublicensed, shared with another organisation or used to provide a service to third parties unless a partner or reseller agreement allows it.

Activation and validation

A licence is activated against the organisation’s installation and validated with JPRAXC’s licensing service, which the product contacts to confirm the licence, deliver updates and enable the add-ons bought. Portals, mobile apps, storage blocks, SMS packs, Business Email plans, the WhatsApp API integration and other add-ons are licensed separately and may be switched on, limited or switched off according to what has been bought and paid for.

Expiry

When a licence period ends without renewal, the product may restrict itself to reading and exporting existing records after the grace period shown in the product. The organisation’s records are not deleted by the expiry itself; on a Cloud edition they are kept for the export period in clause 20 and then deleted.

What you may not do

You may not remove notices, alter licence files, circumvent activation, capacity or expiry controls, decompile, disassemble or reverse engineer the software except to the extent section 52(1)(ab) and (ac) of the Copyright Act, 1957 or other applicable law expressly permits, copy it except for the backup the Act allows, or use it to build a competing product. The software is licensed as a computer programme under the Copyright Act; JPRAXC and its licensors keep every right not expressly granted.

Orders, prices, GST and payment

Prices and taxes

Prices are shown in Indian Rupees and exclude GST unless stated otherwise. GST at the applicable rate for the actual supply and tax classification and any other applicable tax are added on the tax invoice, which is issued under the Central Goods and Services Tax Act, 2017 and shows JPRAXC’s GSTIN and, where you give it, yours. Every price is shown in full before you pay; JPRAXC does not add charges at checkout, pre-select add-ons, or show a price that changes after you have chosen.

Orders

An order is accepted when JPRAXC issues the order confirmation, licence or invoice for it; an enquiry or a purchase form on this website is a request, not an order. A quotation is valid for the period it states. JPRAXC may decline or limit an order — for example where details cannot be verified or a product is not available for the requested deployment — and refunds any amount paid for an order it declines.

Payment

Payment is due as the invoice states. Online payments are collected by the RBI-authorised payment aggregator named in the checkout, under that aggregator’s terms; JPRAXC does not receive or store your card number, CVV, UPI PIN or banking password. Bank transfer and cheque are accepted against an invoice. An unpaid invoice may delay activation, renewal, hosting or delivery; JPRAXC may charge the actual bank or aggregator cost of a reversed or dishonoured payment and interest on an amount more than thirty days overdue at 12% a year, and may suspend a service under clause 20 after notice.

No automatic debits

JPRAXC does not charge a saved card or account without your action. A renewal or add-on is a fresh order paid on its own invoice. If JPRAXC later offers recurring payments, they will be set up only through an e-mandate you register, under the Reserve Bank of India’s e-mandate framework: a pre-debit notification at least 24 hours before each debit, additional authentication above the RBI’s limit, and cancellation at any time.

Renewals, cancellation and refunds

JPRAXC sends renewal reminders before a licence period ends; the price for a renewal is the published price or the renewal price the quotation or licence states. You may choose not to renew by doing nothing; no notice is needed and no charge follows, subject only to the effect of expiry in clause 4. You may cancel a subscription during its term by writing to support; the licence continues to the end of the paid period unless the Refund & Cancellation Policy provides a refund.

The Refund & Cancellation Policy is part of these terms. In short: an order cancelled before delivery is refunded in full with no cancellation fee; a new Cloud subscription, Business Email plan or hosting plan may be cancelled within seven days of activation for a full refund less metered items consumed; an activated Offline licence, a credited SMS pack or storage block and a connected WhatsApp integration are not refundable unless JPRAXC cannot provide them or they are defective; a deficient service that JPRAXC cannot correct within fifteen working days is refunded for the unused part of its term; and every refund goes to the original payment method, with a GST credit note, within the timelines that policy states.

Hosting, updates and support

Cloud editions

For a Cloud edition JPRAXC hosts the product on the plan and capacity ordered, using servers and infrastructure of third-party hosting providers it selects, located in India unless the order states otherwise. JPRAXC aims to keep the service available at all times other than planned maintenance, schedules maintenance outside the organisation’s working hours where it can, and gives reasonable notice of planned downtime; some security updates apply automatically. JPRAXC takes the backups the plan includes and uses reasonable efforts to restore from the most recent of them on request or after a failure, as clause 8 (Loss of data and third-party hosting) sets out; a service level agreement, where one is bought, states the availability commitment and the remedies for missing it.

Offline editions

An Offline edition runs on the organisation’s own equipment. The organisation is responsible for that equipment, its operating system, its network, its security and its backups, using the tools the product provides; JPRAXC is responsible for the software.

Updates

Product updates may add, change or retire features, and are delivered through the licensing service, the console or the product’s own update screen. A release may stop being supported after a newer release has been available for a reasonable time; JPRAXC announces the end of support for a release at least ninety days in advance. Updates that change the data an organisation must keep or the consents it must hold are described in the release notes.

Support

Support is provided on working days through the channels published on this website, at the level included in the licence or a support agreement, for the current and the immediately preceding release. Migration, custom development, training, data entry and on-site work are separate services quoted separately. Support may ask for remote access to a screen or, with the organisation’s written permission, to its installation; it uses that access only for the task and records what was done.

Your data and the data processing terms

Ownership and responsibility

Organisation data remains the organisation’s. The organisation decides what it collects and publishes, who may access it and how long it is kept, and is responsible for the notices, consents, registrations and legal duties that apply to it in its applicable role — including those for children’s records under section 9 of the Digital Personal Data Protection Act, 2023, for health records, for Aadhaar numbers, for employee records, and for the DLT registration and opt-ins its messages need. The organisation must not upload content it has no right to use and must keep its own accounts and devices secure.

The processing terms

Where JPRAXC hosts or accesses organisation records to provide the contracted service, it acts as a processor under documented customer instructions. These processing terms apply contractually and support DPDP section 8(2) when that provision commences. JPRAXC will: (a) process organisation data only to provide, secure and support the contracted service and on the organisation’s documented instructions, which include the configuration it sets in the product; (b) keep it confidential and allow access only to personnel who need it and are bound by confidentiality; (c) apply the security measures described in the Privacy Policy; (d) engage sub-processors only for hosting, delivery and support functions, name them in the Privacy Policy, bind them to equivalent terms and remain responsible for its own obligations in selecting and instructing them (loss of data on their infrastructure is governed by Loss of data and third-party hosting below), and give the organisation notice of a new sub-processor on request; (e) keep JPRAXC-hosted data in India unless the order states otherwise, and apply current transfer safeguards and future DPDP requirements as they commence; separately configured provider and delivery flows are disclosed in the Privacy Policy; (f) tell the organisation without undue delay of a personal data breach affecting its data, with the information it needs to notify the Data Protection Board and the affected persons; (g) help the organisation answer a Data Principal’s request to access, correct or erase, with the tools in the product and, where needed, by hand; (h) provide the information reasonably needed to show compliance with these terms, and allow an audit of JPRAXC’s hosted environment once a year on reasonable notice, at the organisation’s cost, by an auditor bound by confidentiality; and (i) at the end of the service return organisation data through the export tools in the product during the export period in clause 20 and then delete it, except for what the law requires JPRAXC to keep. JPRAXC does not use organisation data to train models, for advertising, or for any purpose of its own beyond aggregated, de-identified service statistics.

Customer processing schedule — revision 2026-09-27

The order and activation record identify the enabled service, duration, customer instructions and authorised administrators. Processing covers storage, retrieval, transmission, support, export and deletion for that service. School data may concern students, guardians and staff; mail data concerns mailbox users and correspondents; other enabled ERP modules concern their authorised users, customers or patients. Categories include identity/contact, operational records, attachments, communications and associated security metadata. Coming-soon modules are not activated by this agreement.

Before activation or a material integration change, the parties must identify actual hosting, subprocessors, locations, support access, export formats and the media/metadata/backup retention schedule. JPRAXC provides notice of a material subprocessor change and a channel to raise a reasonable data-protection objection before the change where practicable; emergency security or legally required action is explained promptly. No clause authorises unrelated reuse of customer content. Aggregated service statistics must not identify individuals and must not be re-identified. Sending content to an AI provider needs a separately disclosed, authorised instruction and safeguards; these terms do not authorise model training.

Support access is limited to the authorised task and recorded. JPRAXC assists with rights requests, incidents and evidence needed for the customer’s assessment. Export is available during the existing clause 20 period. A retention schedule must distinguish live records, backups, deletion retries and narrowly scoped legal holds; restricted preservation is not permission for continuing ordinary use.

Loss of data and third-party hosting

Infrastructure. JPRAXC’s Cloud editions, Business Email, websites and connected services are hosted on servers, storage, networks and data centres owned and operated by independent third-party hosting and cloud infrastructure providers. JPRAXC does not own or physically control that infrastructure; its physical security, power, hardware, network and platform-level availability are provided by those providers under their own terms.

No guarantee against loss. JPRAXC applies reasonable security safeguards and takes the backups the plan includes, but no hosted, networked or electronic system can be guaranteed against failure. JPRAXC does not warrant that organisation data, content, messages, files or backups will at all times be complete, accurate, available or free from loss, corruption or deletion.

Exclusion of responsibility. To the fullest extent permitted by applicable law, JPRAXC is not responsible or liable, at any stage of the service — onboarding and data migration, day-to-day use, updates and upgrades, renewal, suspension, termination, the export period and after deletion — for any loss, corruption, deletion, alteration or unavailability of data, however it arises, including where it results from: (a) a failure, outage, error, maintenance, security incident, suspension, insolvency or withdrawal of service of a third-party hosting, storage, network, email, messaging or cloud provider; (b) a hardware, software, power or connectivity failure, or an event described in clause 21; (c) malware, ransomware, a cyber-attack or unauthorised access, except to the extent caused by JPRAXC’s failure to maintain the reasonable security safeguards the law requires of it; (d) an act or omission of the organisation, its users or anyone using their credentials, including deletion, overwriting, an incorrect import or configuration, a shared or weak password, or not keeping its own backups; (e) an Offline edition, which runs on the organisation’s own equipment under clause 7; or (f) data not exported within the export period in clause 20.

The organisation’s own backups. The organisation is responsible for keeping regular, independent copies of its data outside the service, using the export and backup tools in the product — JPRAXC recommends at least weekly — and in every case before an import, a bulk change, an update it starts, the end of a subscription term or the end of the service.

Restoration is the remedy. If data is lost or corrupted, JPRAXC’s only obligation, and the organisation’s only remedy, is for JPRAXC to use reasonable efforts to restore the most recent backup available to it under the plan, if one exists. A restoration may not include changes made after that backup, and JPRAXC does not guarantee that a backup exists, is complete or can be restored. JPRAXC does not pay compensation, damages or service credits for lost or corrupted data or for the cost of re-creating it, unless a written service level agreement expressly provides otherwise.

What this does not affect. Subject to such a service level agreement, this clause prevails over any other provision of these terms that deals with loss of data. It does not exclude or limit liability for fraud or wilful misconduct; JPRAXC’s duties under the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and the rules under them, including reasonable security safeguards and breach notification; or any other liability or right that applicable law, including the Consumer Protection Act, 2019, does not allow to be excluded or limited.

Lawful requests

If a court, regulator or law-enforcement agency requires JPRAXC to disclose organisation data, JPRAXC will notify the organisation before complying unless the law forbids it, disclose only what the request lawfully covers, and refer the requester to the organisation where it can.

WhatsApp, SMS, Business Email and ConnectX

WhatsApp

JPRAXC provides the WhatsApp API integration as a technology provider on the WhatsApp Business Platform operated by Meta. The organisation connects its own WhatsApp Business Account and phone number to its JPRAXC product through Meta’s Embedded Signup. By connecting, the organisation accepts and must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and Meta’s other applicable terms, as amended by Meta. In particular the organisation must obtain a recipient’s opt-in before sending business-initiated messages, send only content those policies permit, honour a request to stop, and use message templates only after Meta has approved them. Delivered-message/category charges and any applicable exceptions are set by Meta and are the organisation’s responsibility, billed by Meta to the organisation’s WhatsApp Business Account payment method, or through JPRAXC where a written agreement provides for it. The one-time integration charge covers the connection, the JPRAXC desk, the assistant and the webhook routing, not Meta’s applicable message charges. Meta may review, restrict or suspend a WhatsApp Business Account under its policies, and JPRAXC may disconnect a number that breaches them; this does not remove JPRAXC’s responsibility for its own breach, configuration or misrepresentation. Where the organisation switches on the WhatsApp assistant, it is responsible for the menu and replies it configures and for handing conversations to a person where the law or a recipient requires it.

SMS

SMS is sent through the JPRAXC SMS platform and carrier gateways under the Telecommunications Act, 2023 and TRAI’s Telecom Commercial Communications Customer Preference Regulations, 2018 as amended: the organisation must register its entity and headers on the DLT platform, use registered content templates, send promotional messages only to recipients whose consent is recorded and within the permitted hours, carry an opt-out in every promotional message, and honour opt-outs and preferences. SMS packs are counted per message segment and, once credited, are not refundable except as the Refund & Cancellation Policy provides. Delivery depends on the carrier and the recipient’s network, billable events, rejected submissions, retries and reversals follow the disclosed plan and carrier schedule rather than an assumption that every failed message is chargeable.

Business Email

Business Email provides mailboxes and sending on the plan ordered, with the daily sending limit, storage and aliases the plan states, anti-abuse controls, and the sender domain the organisation authorises through the DNS records JPRAXC gives it. Configured delivery can use Amazon SES or the authorised mail transport for that deployment; bounces, complaints and reputation events may reduce the sending limit or pause sending until the cause is fixed. Mailbox contents are the organisation’s and are exportable.

ConnectX

ConnectX carries conversations between the organisation, its people, its website visitors and JPRAXC. Visibility follows the conversation and account permissions the organisation sets. Bulk, unsolicited or deceptive messaging through any JPRAXC service is prohibited, and JPRAXC may throttle, suspend or terminate a service used that way.

Live Classes add-on

Live Classes is available only under an enabled school entitlement and the capacity/support scope stated in its order. Hosting may share the school server or use a separately agreed server; no unlimited concurrency or availability is implied. The school controls room access, guardian/staff authority, notices and recording permissions. Camera, microphone and screen sharing are deliberate actions. Recording notices and administrator-only download controls must be configured before use.

The normal download window is designed to close 24 hours after the actual class end. Before activation, agree the media, metadata, backup, failed-deletion and lawful-preservation schedule described in Privacy; do not interpret link expiry as complete erasure of all copies. The school controls its downloaded copies. Transport encryption is not a claim of end-to-end encryption.

Payment collections through your ERP

A product may collect fees, bills and invoices from the organisation’s own payers through a payment gateway on a merchant account the organisation holds with an RBI-authorised payment aggregator or bank. Those transactions are between the organisation and its payers: the aggregator’s agreement, settlement, charges, refunds, chargebacks and disputes are the organisation’s, and JPRAXC is not a payment aggregator, does not hold the money and is not a party to the payment. JPRAXC provides the integration, the receipt and the reconciliation, and provides transaction records and reconciliation controls; discrepancies should be reported promptly. The organisation must publish its own refund terms to its payers and use the provider’s compliant refund route, normally to the original instrument, with verified same-payer alternatives only where permitted. Where JPRAXC’s partner arrangement with an aggregator gives the organisation a preferential rate, the aggregator’s terms still govern the account.

Mobile apps

JPX School ERP, JPX Parent, JPX Staff, JPX Partner and JPX Mail are used under these terms and, when distributed through a store, that store’s terms. Check the published app listing or your approved installation route for availability and supported devices; a Coming soon listing is not an available download. An app connects to the organisation or service that authorised it, and that organisation decides who may sign in and what each person may do.

JPX School ERP office access. Use the school’s School ID and your named ERP Login ID and password, with its security check and second sign-in step where required. Parent or Staff credentials do not grant office access. Modules, changes, approvals, printing and settings follow the ERP role; installing the app or changing its appearance grants no additional authority. Confirm the student, academic session, amounts and payment mode before collecting fees, and check the collection register if the outcome is unclear before submitting again.

Device access. JPX School ERP requires a four-digit App PIN and offers supported-device fingerprint or face unlock. Sign out locks its remembered account; use More › Remove from this phone to remove the remembered sign-in and PIN before handing over the device. Neither action, clearing app data nor uninstalling deletes school records or constitutes a server-account deletion request. Contact the school administrator to end ERP account access or request assessment of related records; a privacy request may also be sent directly to JPRAXC.

Permissions, files and communication. Camera, microphone, selected files, notifications and, in the applicable app or enabled task, location or Live Classes screen sharing serve the chosen action as described in the Mobile App Privacy Policy. Refusing an optional permission prevents the action that needs it. Share only information you are authorised to disclose, check ConnectX broadcast recipients, and protect downloaded or externally shared copies. In an enabled Android live class, approve Share screen only after checking what will be visible; use Stop sharing or Leave class to stop. The school remains responsible for class access, recording authority and notices.

School records and documents. The school controls correction, archiving and retention. Recycle Bin restoration and permanent deletion need the applicable permissions; permanent deletion cannot be undone and records held by other school records may remain archived. Document verification checks the school’s issued record; compare the returned details with the document and do not treat an unavailable or unfinished check as verification. Acceptable use

  • Use the services lawfully and for their intended purpose, and do not use them to harass, defraud, defame, stalk or harm anyone, or to send a message the recipient has not agreed to receive.
  • Do not probe, scan, overload, interfere with or circumvent the security, licensing or metering of any JPRAXC service, portal or installation, or access data you are not authorised to see. Unauthorised access, damage and impersonation are offences under sections 43, 66, 66C and 66D of the Information Technology Act, 2000.
  • Do not upload or send malware, or content that is unlawful, obscene, infringing, misleading, or of a kind rule 3(1)(b) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 requires an intermediary to keep off its service. JPRAXC removes such content on a lawful order within the time the Rules allow, and may remove it on its own review after notice to the account.
  • Do not resell, rebrand or offer a JPRAXC service to third parties except under a partner or reseller agreement, and do not use a trial, demo or evaluation for production.
  • Keep within the capacity, sending limits and fair use of the plan; JPRAXC may throttle a service that exceeds them and will tell you when it does.

Intellectual property

The JPRAXC software, portals, apps, designs, documentation, templates, this website, and the JPRAXC name, badge and marks belong to JPRAXC INFYNEX PRIVATE LIMITED and its licensors, and are protected by the Copyright Act, 1957 and the Trade Marks Act, 1999. These terms grant use, not ownership. Organisation data, the organisation’s logo and the content it publishes remain its own; the organisation grants JPRAXC the licence needed to host, display, process and back them up for the service. Suggestions and feedback you give may be used to improve the products without obligation. Open-source components in the products are used under their own licences, listed in the product. WhatsApp and Meta are trademarks of Meta Platforms, Inc.; other product and company names belong to their owners, and their appearance does not imply endorsement.

Partners

A Partner promotes, sells, deploys or supports JPRAXC products under a separate partner agreement, which governs commission, territory, obligations and the customer details a partner may submit. A partner must have the customer’s authority for every request it submits, must not make promises on JPRAXC’s behalf beyond the published offer, must pass on these terms and the policies to its customers, and remains bound by these terms in its own use of the services. A refund to a customer may reverse the commission on that sale as the partner agreement provides.

Third-party services

The services depend on third parties JPRAXC does not control: hosting providers, payment aggregators and banks, telecom operators and the DLT platform, Meta, Amazon SES, Google Play, domain registries, and the organisation’s own equipment and internet connection. Their availability, terms, charges and changes are theirs; JPRAXC will help the organisation work with them and will tell it when a third party withdraws or changes something the service depends on. A link on this website to another site does not mean JPRAXC endorses it or is responsible for it.

Provider dependencies do not exclude responsibility for JPRAXC’s own acts or for duties that cannot legally be excluded. Loss, corruption or unavailability of data on third-party infrastructure is governed by clause 8 (Loss of data and third-party hosting). Service credits are governed by the purchased plan; no transferable wallet, deposit-taking or payment-aggregator authority is created by a software label.

Confidentiality

Each party keeps the other’s confidential information — organisation data, pricing, licence keys, security details, unreleased features — confidential, uses it only for the service, and discloses it only to people who need it and are bound to keep it confidential, or where the law requires. This obligation continues for three years after the service ends, and for organisation data and personal data for as long as JPRAXC holds them.

Warranties and your statutory rights

JPRAXC warrants that it will provide the services with reasonable skill and care, substantially as described on this website, in the release notes and in the order, and that it has the right to grant the licences it grants. If a service does not meet that warranty, JPRAXC will correct it and, if it cannot within fifteen working days, the Refund & Cancellation Policy applies. Except for that warranty, and to the extent the law permits, the services are provided as they are: JPRAXC does not warrant that they will be uninterrupted or error-free, that every calculation will suit every organisation’s circumstances, or that a third-party service will be available. The organisation is responsible for checking statutory returns, invoices, marks, payroll, prescriptions and other outputs before relying on them; the products help produce them but do not replace a qualified person’s review. Nothing in these terms excludes or limits a warranty or a right that the Consumer Protection Act, 2019, the Sale of Goods Act, 1930 or another applicable law does not allow to be excluded.

Limitation of liability

To the extent the law permits, neither party is liable to the other for indirect or consequential loss, loss of profit, revenue, business or goodwill, or for loss, corruption or unavailability of data, which clause 8 (Loss of data and third-party hosting) governs; and JPRAXC’s total liability for all claims arising in any twelve-month period, in contract, tort or otherwise, is limited to the fees the organisation paid to JPRAXC for the affected service in that period. These limits do not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, a breach of clause 8 by JPRAXC (other than loss, corruption or unavailability of data), a breach of clause 12 or 13 by the organisation, the indemnity in clause 19, or any liability that cannot be limited under applicable law, including under the Consumer Protection Act, 2019.

Indemnity

The organisation will indemnify JPRAXC against third-party claims, fines and reasonable costs arising from organisation data or content it uploads or sends, from messages sent without the consent or registration the law or a messaging policy requires, from its breach of clause 12, or from its use of the services in breach of the law. JPRAXC will indemnify the organisation against third-party claims that the JPRAXC software, used as licensed, infringes an Indian copyright or trade mark, and may at its choice modify or replace the software or refund the unused licence fee if it cannot. Each indemnity applies only if the indemnified party notifies the other promptly, lets it control the defence and helps it reasonably.

Suspension and termination

JPRAXC may suspend or limit a service where an invoice is more than thirty days overdue, where use breaches these terms or a third-party policy that applies to the service, where continued operation would create a security or legal risk, or where a third-party service the feature depends on withdraws it. Where practicable JPRAXC gives at least seven days’ notice and an opportunity to put things right first, and lifts the suspension when the cause is removed. Either party may end a service agreement for a material breach the other does not remedy within thirty days of written notice, and the organisation may end it at any time under clause 6.

At the end of a Cloud service the organisation may export its records with the tools the product provides for thirty days (the export period), after which JPRAXC deletes the hosted data in line with its backup cycle and the retention the law requires; on request within the export period JPRAXC will provide a full export in a documented format. An Offline installation stops validating at expiry but the organisation’s database stays on its own equipment. Clauses that by their nature should survive — payment, data responsibilities and the processing terms, intellectual property, confidentiality, warranties and liability, indemnity, governing law — survive termination.

Events beyond control

Neither party is liable for a failure or delay caused by an event beyond its reasonable control — a natural disaster, epidemic, war, riot, strike, act of government, failure of public power, telecommunications or internet infrastructure, or a third-party outage — provided it tells the other promptly and does what it reasonably can to reduce the effect. Payment for a service already delivered is not excused. If such an event prevents a service for more than sixty days, either party may end the affected service and JPRAXC refunds the unused part of the term.

Notices and electronic records

Send notices to the published support contact or registered office; JPRAXC uses the account administrator’s recorded contact and in-product channels. Statutory and urgent reports can go directly to the Grievance Officer and are not delayed by ordinary business hours or deemed-receipt clauses. Order, acceptance, licence and payment logs may be evidence, subject to applicable authenticity, admissibility and certification requirements, including the Bharatiya Sakshya Adhiniyam. JPRAXC’s records are not automatically conclusive and may be challenged or corrected.

Changes to these terms

JPRAXC may update these terms and the policies when its services, its providers or the law change. A change is published on this page with a new date, and a material change that affects an existing licence is notified to the organisation’s administrator by email or in the product at least fifteen days before it takes effect; if the organisation does not accept it, it may end the affected service under clause 6 before that date. Otherwise, continued use after the date means acceptance. For an existing order, the terms in force when the order was accepted continue to apply for that order’s period unless the law requires otherwise.

Governing law and disputes

These terms are governed by the laws of India. The parties will first try to resolve a dispute by discussion between their authorised representatives within thirty days of one party’s written notice of it. Subject to that, and to any law that provides otherwise, the courts at Kushinagar, Uttar Pradesh have exclusive jurisdiction over disputes arising from these terms. A consumer may instead approach the consumer commission that has jurisdiction under the Consumer Protection Act, 2019, and nothing here prevents a party from seeking urgent interim relief from any competent court. If any part of these terms is found unenforceable, the rest continues to apply and the part is read down to the extent needed. A delay in enforcing a right is not a waiver of it. Neither party may assign these terms without the other’s consent, except that JPRAXC may assign them to a successor to its business on notice. These terms, the policies they refer to and the order documents are the entire agreement for the services and replace earlier discussions.

Grievance Officer and contact

The Grievance Officer receives complaints about these terms, an order, a service, content on a JPRAXC-operated service or personal data, and is the officer required by rule 3(2) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and rule 4(4) of the Consumer Protection (E-Commerce) Rules, 2020.
