Partner Programme Terms
The rules for applying, representing JPRAXC products, submitting customer requests and receiving partner incentives.
These Partner Programme Terms are an agreement between the applicant or approved partner and JPRAXC INFYNEX PRIVATE LIMITED, CIN U62011UP2026PTC252552, with its registered office at C/O Jay Prakash Chaurasia, Bherahritola, Dudhi, Bansgaon, Padrauna, Kushinagar, Uttar Pradesh PIN - 274302, India (“JPRAXC”). They supplement the Terms of Service, Privacy Policy and Mobile App Privacy Policy. If a signed partner agreement states different commercial terms, that signed agreement controls those commercial terms.
Joining the programme
You must give complete and accurate identity, contact, territory, experience, business and payout details. JPRAXC may verify those details and request supporting records. An application does not appoint you as a partner. Appointment starts only after JPRAXC approves the application and you activate the approved Partner account.
By ticking acceptance in the Partner app, you confirm that you are at least 18 years old, have authority to bind the person or business named in the application, and accept the specific version displayed at acceptance. Earlier accepted versions continue to govern until a validly notified change or fresh acceptance; this web revision does not silently change the version recorded by an older app.
Relationship and territory
The relationship is non-exclusive and independent. You are not an employee, franchisee, legal representative or agent of JPRAXC and cannot bind JPRAXC, incur a liability in its name, appoint sub-partners, or promise a territory, discount, feature, delivery date, refund or service level unless JPRAXC has confirmed it in writing. A stated territory guides lead handling and does not create exclusivity.
Customer authority and fair dealing
You must have the customer’s clear authority before entering or sending its name, contact details, requirements or documents through the Partner app. You must identify yourself as an independent JPRAXC Partner, explain the product and price accurately, give the customer access to JPRAXC’s current terms and policies, and respect a request to stop contact. Purchased, scraped, deceptive or unsolicited lead lists are prohibited.
You must not submit invented enquiries, duplicate a lead to claim credit, interfere with another partner’s recorded opportunity, impersonate a customer, collect a password or one-time code, or make a payment through a customer’s account.
Sales conduct and compliance
You will comply with applicable consumer, advertising, anti-spam, telemarketing, tax, anti-bribery, privacy and data-protection law. You may not offer an improper payment, gift or benefit to win business. You must describe Cloud and Offline editions, capacities, add-ons, renewals, third-party services and limitations as JPRAXC publishes them, and promptly correct a statement that becomes inaccurate.
Orders, pricing and customer payments
A quote or request submitted in the Partner app is subject to JPRAXC review. Only JPRAXC’s approved quotation, order confirmation, invoice or payment link fixes the product, scope, price, GST and delivery terms. Unless JPRAXC has expressly authorised collection in writing, customer payments must go directly to JPRAXC through the account or payment link on the invoice. You must not add a hidden fee or represent a private account as a JPRAXC collection account.
Incentives, reversals and payout
An incentive is earned only on an eligible sale attributed to your Partner ID after JPRAXC receives and confirms the customer payment. The rate and basis are the approved programme rules recorded for that sale. GST, taxes, refunds, credits, chargebacks, gateway charges and excluded services do not form part of the basis unless the rule expressly says they do.
A refund, chargeback, duplicate order, fraud finding, cancellation or unpaid amount may cancel or reverse the related incentive. Approved incentives are paid to the verified bank account on record after required tax documents and withholding. You are responsible for your own income-tax and GST obligations; JPRAXC may deduct TDS and issue the applicable certificate.
Commercial schedule and statements
The written schedule applicable to a sale must identify its version, eligible revenue base, rate, earning event, any refund hold, settlement timing, threshold, tax documents and exclusions. No commission percentage, guaranteed income, deposit or recruitment reward is created by this page. Lead attribution, duplicate leads, renewals and territory follow that schedule; a dispute is reviewed against the recorded customer authority and opportunity history. Introducing a customer does not confer ownership of its personal records.
Any reversal must identify the affected order, reason and amount in a statement or ledger available to the partner, with a route to dispute an error through support or the Grievance Officer. Already earned eligible amounts remain payable on termination subject to valid reversals and withholding. Current-period income-tax and GST requirements apply; older statutory section numbers must not be assumed to govern later-period payouts.
Brand, materials and intellectual property
JPRAXC grants an approved partner a limited, revocable, non-transferable right to use the current partner badge and approved sales materials only to promote JPRAXC products during the appointment. You may not register or use a confusing domain, social account, company name, advertisement or app; alter the marks; copy the software; or publish an unapproved price sheet. All goodwill in the marks belongs to JPRAXC. Do not imply government, Google or Meta endorsement or make unsupported earnings claims.
Customer data and confidentiality
Use customer and JPRAXC information only for the authorised opportunity, keep it secure, disclose it only to people who need it for that work, and delete local copies when no longer needed. Confidential information includes pricing not yet published, product plans, credentials, security information, customer records and partner reports. These duties continue after the appointment ends. Partner appointment does not itself authorise student-record access, licence issuance, installation administration or collection of customer funds: each needs separately granted written authority and least-privilege access. Give prospects the relevant notice before submitting their information, and use it only for the authorised request. Report a suspected loss or unauthorised disclosure immediately to support@jpraxc.com.
Loss of data and third-party hosting. JPRAXC services run on infrastructure operated by third-party hosting providers. Clause 8.4 of the Terms of Service applies to every customer you introduce and to your partner account. Do not promise a customer wider protection, a guarantee against loss, or compensation for lost data.
Partner app account and records
Your Partner account, password, one-time codes, app PIN and biometric unlock are personal to you. Keep them secure and report compromise promptly. The Partner app records applications, acceptance versions, customer requests, quotes, order progress, incentives, support messages and account events. Do not share access or attempt to view another partner’s records.
Suspension and termination
Either party may end the appointment by written notice. JPRAXC may suspend access immediately for suspected fraud, misuse of customer data, unsafe credentials, false statements, unauthorised collection, bribery, infringement or material breach, and will give the reason unless law or an investigation prevents it. On termination you must stop using the marks, return or delete confidential material and stop presenting yourself as a partner. Eligible incentives already earned remain payable subject to reversals and legal withholding.
Responsibility, indemnity and liability
Each party is responsible for loss caused by its breach, negligence, fraud or unlawful act. You will reimburse JPRAXC for a third-party claim caused by your unauthorised promise, unlawful marketing, misuse of data, collection of money, infringement or deliberate misconduct. Nothing limits liability that law does not permit to be limited. Otherwise, JPRAXC’s aggregate liability under the programme is limited to the incentives paid or payable to you in the twelve months before the event giving rise to the claim.
Changes, governing law and contact
JPRAXC may update these terms for legal, security or programme changes and will show the new version before requiring fresh acceptance. A change does not retrospectively alter an incentive already earned. These terms are governed by Indian law. The parties will first try to resolve a dispute in writing; courts having jurisdiction over Kushinagar, Uttar Pradesh have jurisdiction, subject to any remedy that applicable law allows elsewhere.
